Service terms — agency subscriptions

1. Parties, scope and contract formation
These terms govern the professional software service supplied by Myriam Pontiac, individual entrepreneur (entreprise individuelle, micro-entreprise), trading as MP Développement Digital, SIREN 107 090 268, SIRET 107 090 268 00015, 141 rue Peton Gaudet, 42400 Saint-Chamond, France. The purchasing agency must be authorised to bind its organisation and act for each business. Mandatory legal rights remain unaffected.
The accepted order identifies the agency, plan, billing cycle and price. The service terms and the DPA must be made available before acceptance. Publication of this page does not create a paid subscription or constitute a signed contract. Marketplace payment terms govern transactions executed there; these terms do not rewrite the payment provider's rules.
2. Service, white-label resale and permitted use
Revenue Recovery supports controlled follow-up of existing enquiries, quotes and eligible dormant prospects with sourced outcome reporting. It does not generate new demand or guarantee appointments, delivery, payments or recovered revenue. An opportunity value is not proof of payment.
The agency may apply its brand and set its own client resale prices. The agency is responsible for its downstream contracts, customer support and lawful instructions. Resale does not transfer ownership of the software or conceal the legal parties responsible for data processing.
Do not use the service for unlawful prospecting, deception, emergency decisions or prohibited sensitive-data processing. The business controls consent or other applicable lawful basis, contact preferences, exclusions, opt-outs, channel/country rules, sender identity and budgets. A customer must not bypass these controls.
3. Plans and excluded costs
Launch: USD 297 per month for 3 businesses. Agency: USD 597 per month for 10 businesses. Scale: USD 997 per month for 25 businesses. These prices are paid by the agency, which determines its own resale price. The current plans have no free trial, revenue share or mandatory setup fee. No additional-capacity purchase or unlimited-message allowance is offered by these terms.
Subscriptions are collected through the connected Marketplace. There is no separate MP Développement Digital Stripe checkout for the same subscription. CRM subscriptions, communications transport and external provider charges are excluded. MP Développement Digital does not take a telecommunications subscription on behalf of an agency or act as its telecom operator.
4. Renewal and cancellation
The subscription renews automatically each month until cancelled. The actual renewal date, amount and account-management procedure are those disclosed and accepted in the Marketplace order. Cancel through the Marketplace subscription controls before the next renewal date to avoid that renewal. Contact support if the control is unavailable and retain the request evidence; no undocumented provider processing cut-off is imposed here.
Uninstalling the application, disconnecting the CRM, pausing automation or ceasing use does not cancel the subscription. Cancel through the Marketplace subscription controls before the next renewal. The confirmation and paid-through date determine remaining entitlement under the Marketplace terms; no independent refund, prorated credit or fixed access-extension guarantee is added.
Plan changes follow the existing Marketplace process and confirmed entitlement. These terms do not introduce proration rules, retroactive changes or new billing logic. Material price/term changes must be disclosed before they apply; no change to these three plans is being made.
5. Refunds and billing disputes
Refunds for Marketplace payments follow the applicable purchasing Marketplace refund policy and purchase disclosures, subject to mandatory law. MP Développement Digital adds no separate refund policy, restriction or money-back guarantee. The provider determines eligibility, processing and any deductions under its policy.
Report duplicate or incorrect charges promptly through Marketplace support and notify MP Développement Digital support with the order reference and non-sensitive evidence. Do not email card details. MP Développement Digital can assist the review but cannot promise a provider refund decision or execute an unapproved financial action.
The purchasing agency's refunds to its own clients are governed by its own contracts and applicable law; they do not automatically create an MP Développement Digital subscription refund.
6. Taxes and non-payment
The operator benefits from the French VAT exemption for small businesses: TVA non applicable, art. 293 B du CGI. No French VAT is added by the operator to the USD 297 / 597 / 997 monthly agency prices while this regime applies. Any taxes legally applied by the Marketplace or in the customer's jurisdiction follow the purchase disclosures and applicable law. Accurate billing details are required; external currency-conversion charges may apply. This clause does not alter Marketplace billing configuration.
A failed, reversed, disputed or unpaid transaction may cause the existing Marketplace entitlement controls to restrict service or pause automation. Contact support and resolve payment through the provider's authorised procedure. These terms add no retry schedule, grace period, late fee, penalty interest or automatic reinstatement promise.
A payment dispute does not authorise unrestricted retention of customer CRM data or bypass data-protection rights. Export, return, deletion and legally required preservation are handled under the approved DPA.
7. Support, availability and suspension
Email support: support@mpddrecover.com. First response within 24 hours of receipt, including weekends and public holidays. This is an initial response commitment, not a resolution deadline, continuous live support or an uptime SLA.
The service depends on authorised integrations and external providers. Queues, reconciliation and status controls reduce operational risk but do not ensure third-party delivery. Automation may be paused for abuse, security incidents, legal risk, missing prerequisites or payment entitlement failure. Where lawful and safe, the affected customer is informed of the reason and required corrective action.
Customer communications remain disabled during pre-launch. Saving a setting, accepting these terms or installing the app does not itself authorise commercial activation.
8. Data, ownership and liability
Customer data remains under the customer's authority. The customer grants only the access necessary to fulfil documented instructions. MP Développement Digital retains software rights; the agency receives a non-exclusive right to use and brand the subscribed service within its entitlement. The privacy notice addresses operator-controlled data; the DPA addresses instructed customer processing.
Subject to mandatory law, the operator's aggregate contractual liability for an event and related claims is capped at the subscription amounts actually paid by the purchasing agency to the operator during the 12 months preceding the event giving rise to liability. This cap does not apply to fraud, intentional misconduct or gross negligence, death or personal injury, liabilities that cannot lawfully be limited, or a limitation that deprives an essential obligation of its substance. It does not restrict data subjects' statutory remedies, compensation rights or regulatory powers under data-protection law.
These terms are governed by French law, subject to applicable mandatory rules. Disputes fall within the courts competent under the applicable jurisdiction rules. No exclusive foreign forum is imposed. Complaints may be sent to support without preventing lawful remedies.
9. Data return and commercial activation
The retention and exit provisions in the Privacy notice and DPA apply. Recording an export or deletion request is not proof of completion. No fixed 30-day export or 60-day live-deletion guarantee is currently offered because an end-to-end execution procedure and termination trigger have not been verified. A feasible completion timetable must be documented with the customer, without limiting mandatory rights or deadlines.
Publication of these documents does not activate customer communications, create a subscription, or publish the Marketplace listing.
